These Terms of Service govern your access to and use of the NYO website, including any purchases, transactions, content, products, services, and features available through the website.

By visiting our website, creating an account, placing an order, or using any part of our services, you agree to these Terms of Service. Please read them carefully before using the website.

1. About NYO

NYO operates an online retail store offering products that may include collectibles, building blocks, toys, bags, stationery, accessories, lifestyle items, and other merchandise.

2. Eligibility to Use the Website

• Handmade or mass-produced products may have reasonable manufacturing differences; and

If a material product detail was incorrectly presented, your rights under applicable consumer laws and our Return and Refund Policy will apply.

5. Collectibles, Blind Boxes, and Random Designs

Some NYO products may be sold as blind boxes, surprise items, mystery designs, assorted colors, or random variations.

By purchasing such products, you understand that:

• The specific character, color, or design may not be selectable;

• Duplicate designs may be received when purchasing multiple units;

• Product rarity is not guaranteed;

• Packaging may be opened only after delivery; and

• Opened blind boxes are generally not eligible for change-of-mind returns.

This does not affect your rights when the product is defective, damaged, incomplete, counterfeit, or different from the product category ordered.

6. Product Availability

All products are subject to availability.

Adding an item to your cart does not reserve the product. An item is generally reserved only after your order is successfully confirmed and payment requirements have been completed.

We may cancel or modify an order when:

• The product is out of stock;

• There is an inventory discrepancy;

• A material pricing or listing error occurred;

• The order appears fraudulent;

• Payment cannot be verified; or

• Delivery to the provided address is unavailable.

When an order is cancelled after payment, any amount collected will be refunded using the original payment method or another mutually agreed method.

All prices are displayed in Philippine pesos, unless otherwise stated.

Prices may change without prior notice. However, price changes will not normally affect an order that has already been accepted and confirmed, except when there is an obvious or material pricing error.

8. Orders and Order Acceptance

Submitting an order is an offer to purchase the selected products.

An automated order confirmation only confirms that we received your request. It does not always mean that the order has been fully accepted, packed, or shipped.

An order is accepted once NYO confirms payment, verifies product availability, and begins fulfillment or dispatch.

We reserve the right to reject or cancel an order for a lawful and reasonable reason.

9. Payment

Available payment methods will be displayed during checkout.

You agree to provide current, complete, and accurate billing and payment information.

NYO may use third-party payment processors. Payment processing may be governed by the payment provider’s separate terms and privacy practices.

NYO does not guarantee that every payment method will always be available.

Orders may remain unpaid or unconfirmed until payment is successfully verified.

10. Cash on Delivery

Cash on Delivery may be offered for qualified orders, products, and delivery locations.

Customers must provide accurate contact and delivery details and must be available to receive the parcel.

Repeated refusal of confirmed COD orders, fraudulent transactions, or unreasonable failure to receive deliveries may result in:

• Restriction or removal of COD privileges;

• Requirement for advance payment on future orders; or

• Suspension of the customer’s account.

These measures will be applied reasonably and will not affect valid customer complaints regarding defective, damaged, or incorrect products.

11. Shipping and Delivery

Estimated delivery periods are provided for guidance only.

Delivery times may be affected by:

• Weather conditions;

• Holidays;

• Remote delivery locations;

• Incorrect delivery information;

• Customs or regulatory delays;

• Natural disasters;

• Service interruptions; or

Customers are responsible for providing a complete and accurate delivery address, mobile number, and recipient information.

Ownership and risk relating to the product will transfer in accordance with applicable law and the circumstances of delivery.

Please inspect the parcel upon receipt and report any delivery-related problem within the period stated in our Return and Refund Policy.

12. Order Changes and Cancellations

You may request an order change or cancellation before the order has been packed or handed to the courier.

We cannot guarantee that an order can still be changed or cancelled after fulfillment has started.

Once an order has shipped, the applicable return process must be followed.

Non-recoverable payment processing fees may be deducted from voluntary cancellation refunds only when legally permitted and properly disclosed.

13. Returns, Replacements, and Refunds

Returns, exchanges, replacements, cancellations, and refunds are governed by our separate Return and Refund Policy, which forms part of these Terms.

Nothing in these Terms limits mandatory customer remedies available under Philippine consumer law.

When NYO offers loyalty points, rewards, vouchers, membership cards, or similar programs, additional program rules may apply.

Unless otherwise stated:

• Points have no cash value;

• Points cannot be sold or transferred;

• Points may expire;

• Returns or cancellations may result in point adjustments;

• Fraudulent transactions may result in forfeiture of points; and

• NYO may modify or discontinue a rewards program upon reasonable notice.

Mandatory consumer rights will not be affected.

16. Customer Reviews and Submitted Content

When you submit a review, photograph, video, comment, testimonial, or other content to NYO, you confirm that:

• The content is truthful and based on your genuine experience;

• You own the content or have permission to submit it;

• It does not violate another person’s privacy or intellectual property rights;

• It is not unlawful, threatening, discriminatory, defamatory, obscene, or misleading; and

• It does not contain malware, spam, or unauthorized advertising.

You grant NYO a non-exclusive, royalty-free, worldwide license to display, reproduce, publish, adapt, and use submitted content for business, promotional, and marketing purposes, subject to applicable privacy laws.

We may remove content that violates these Terms, but we are not obligated to remove a negative review simply because it is unfavorable.

17. Intellectual Property

The NYO website and its original content, including its business name, logo, graphics, layout, photographs, text, videos, designs, and branding materials, are owned by or licensed to NYO and are protected by applicable intellectual property laws.

You may use the website only for personal and lawful shopping purposes.

You may not, without written permission:

• Use NYO branding in a misleading manner;

• Privacy Policy;

• Shipping Policy;

• Promotional terms; and

• Other policies displayed on the website,

form the agreement between you and NYO relating to your use of the website and your purchases.

When there is a conflict, mandatory Philippine law will prevail.
